CONFIDENTIALITY COMMITMENT OF WOOLDI PERU SAC
Wooldi Peru SAC, domiciled in Lima, Peru, represented by General Manager Kenyi H. Alcantara, hereinafter "THE COMPANY", declares to its clients, hereinafter "THE CLIENTS", its commitment to handle with discretion and responsibility the information they share within the framework of the services it provides.
Object
The purpose of this document is to inform and assure THE CLIENTS that THE COMPANY will act with care and discretion regarding the information it receives, with the exclusive purpose of providing software services, technology consulting, support, and other related services.
Information Scope
Confidential Information is understood as any technical, commercial, operational, or administrative information that THE CLIENTS share with THE COMPANY, including, but not limited to:
- Information about systems, software, processes, technological infrastructure, and projects.
- Commercial, financial, or strategic information relevant to the contracted services.
- Technical documentation, diagrams, source code, databases, or credentials.
- Information about users, clients, suppliers, or collaborators of THE CLIENTS.
Important: This commitment does not imply that THE COMPANY is responsible for the accuracy or integrity of the information provided or for its external use.
Confidentiality Principles
THE COMPANY declares that:
- The information will be used solely for the provision of contracted services.
- Discreet and reserved treatment will be applied to all information from THE CLIENTS.
- Internal access to information will be limited to personnel strictly necessary to fulfill the services.
- THE COMPANY will not disclose information to third parties, except by legal requirement or obligation to competent authority.
- This commitment is made in good faith and does not create additional legal obligations beyond those included in specific service contracts.
Validity
The confidentiality commitment will apply throughout the commercial relationship between THE COMPANY and THE CLIENTS, and is maintained as an internal policy of Wooldi Peru SAC for future commercial relationships.
This commitment does not substitute or replace specific contractual agreements that may be formalized for specific projects or services.
Final Declaration
Wooldi Peru SAC subscribes to this document as a manifestation of its professionalism and respect for its clients' information, seeking to generate trust and transparency in its commercial relationship.

3. Services Offered
Our services include:

4. Client Responsibilities
The client agrees to:
- Provide accurate and complete information necessary for project development
- Maintain active communication during the development process
- Review and approve deliverables within established timelines
- Make agreed payments according to the defined schedule
- Respect Wooldi Technology's intellectual property rights
5. Confidentiality and Data Protection
We take information confidentiality very seriously:
- All information shared by the client will be treated as strictly confidential
- We implement technical and organizational security measures to protect data
- We do not share, sell, or disclose client information to third parties without express consent
- Personal data is processed in accordance with applicable data protection laws
- We use SSL/TLS encryption protocols for secure data transmission
- Access to sensitive information is limited to authorized personnel only
- We maintain confidentiality agreements (NDAs) when necessary
6. Intellectual Property
Intellectual property rights are handled as follows:
- The client obtains full ownership of custom-developed code upon full payment
- Wooldi Technology retains rights to proprietary frameworks, libraries, and reusable components
- Any pre-existing technology or methodology remains the property of Wooldi Technology
- The client has the right to use, modify, and distribute the delivered final product
7. Payments and Billing
Payment terms:
- Projects require a 50% upfront payment to begin development
- The remaining balance is paid upon completion and approval of the project
- For extensive projects, intermediate payment milestones may be established
- Overdue payments may result in temporary service suspension
- We accept bank transfers and other agreed payment methods
8. Warranties and Support
We offer:
- 30-day warranty period for bug fixes after delivery
- Technical support during the warranty period at no additional cost
- Extended maintenance and support options through separate agreements
- Guarantee that delivered software meets agreed specifications
9. Limitation of Liability
Wooldi Technology will not be responsible for:
- Indirect, incidental, or consequential losses
- Business interruption or data loss caused by external factors
- Improper or unauthorized use of delivered products
- Failures caused by unauthorized third-party modifications
10. Contract Termination
Termination conditions:
- Either party may terminate the contract with 30 days written notice
- In case of termination, the client must pay for all work completed to date
- Wooldi Technology reserves the right to terminate service for non-payment
- Completed deliverables will be provided to the client upon corresponding payment
11. Modifications to Terms
We reserve the right to modify these terms at any time. Modifications will be effective immediately upon posting on our website. Continued use of our services after such modifications constitutes acceptance of the new terms.
12. Governing Law
These terms are governed by the laws of the Republic of Peru. Any disputes related to these terms will be resolved in the competent courts of Peru.
